We have two first-generation iPads which work fine. We’re looking to move up to the iPad3 as soon as possible and want to donate our old ones to a family with financial troubles. You can prep any iOS device for resale pretty easily. Just go to Settings, General, Reset and choose "Erase All Content and Settings." This securely erases everything on your iPhone, iPod Touch or iPad and leaves just the bare bones system and default apps.
It even overwrites memory so there is no security issue.
